Articles of Incorporation

Chautauqua Cyber Club, Inc.

The undersigned, acting as Incorporator of a corporation pursuant to chapter 617, Florida Statutes, adopts the following Articles of Incorporation:

ARTICLE 1 – Name

The name of the corporation shall be Chautauqua Cyber Club, Inc.

ARTICLE II – Mailing address

The mailing address of this corporation shall be: 
    Chautauqua Cyber Club, Inc.
    P. O. Box 251
    DeFuniak Springs, Fl 32435

ARTICLE III – Purposes

The specific purposes for which the corporation is organized are exclusively for educational and charitable purposes.

ARTICLE IV – Manner of election of directors

The manner of elections of directors are set forth in the bylaws of the corporation.

 ARTICLE V – Limitation of corporate powers

The corporate powers of this corporation are as provided in section 617.0302, Florida Statutes, subject to the following limitations:

No part of the net earnings of the corporation shall insure to the benefit of any private individual. No substantial part of its’ activities will be carrying out propaganda or otherwise attempting to influence legislation. The corporation will not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of any candidate for public office. Upon dissolution, all assets of the corporation will be distributed to organizations exempt under Internal Revenue Code section 501 c (3). Not withstanding any other provision of these articles, this corporation shall not, except to an insubstantial degree, engage in any activities or exercise any powers that are not in furtherance of the purposes of this corporation.

Having been named as registered agent and to accept service of process for the above stated corporation at the place designated in this certificate, I hereby accept the appointment as registered agent and agree to act in this capacity. Tax Status

The Chautauqua Cyber Club, Inc. application for 501(c)3status has been approved by the IRS. It was approved May 12,2000. 

The 501(c)3 approval is conditional because we are a newly created organization and a final determination will not be made for four years. We will function under an advance ruling period and treated as a publicly supported organization, and not as a private foundation. The advance ruling period begins December 13, 1999 and ends December 31, 2003.

Grantors and contributors may rely on the IRS determination that we are not a private foundation until 90 days after the end of the advance ruling period. Donors may deduct contributions as provided in section 170 of the IR Code. Bequests, legacies, devises, transfers, or gifts are deductible for Federal estate and gift tax purposes. Donors may deduct contributions given as gifts so long as no consideration is received.

The original exemption approval, and all applications and supporting documents will be retained by the CCC Secretary as official records.
